The Seller represents that they hold fee simple title to the above property, or have full legal authority to convey the property on behalf of the titleholder, and that the property is free of undisclosed liens except as noted in Section VI below.

Fresh Start, First Step℠ Partnership Agreement
The Seller agrees to provide a completed Illinois Residential Real Property Disclosure Report prior to or concurrent with execution of this Agreement. The property is being purchased in its present "as-is" condition. Buyer acknowledges that no repairs, cleaning, or improvements are required of the Seller as a condition of this Agreement. Seller acknowledges that Fresh Start Group's offer is made in reliance on the accuracy and completeness of all disclosures provided by the Seller.

Fresh Start Group offers donation coordination and disposal of personal property remaining in the subject property at no additional charge to the Seller. Extended services — including sorting and cataloguing of personal property, coordination of an estate sale or auction — are outside the scope of Fresh Start Group's direct services; however, Fresh Start Group may refer the Seller to a qualified third-party estate services provider upon request. Fresh Start Group assumes no liability for the condition, value, or disposition of any personal property not specifically identified and reserved by the Seller in writing prior to commencement of services.
Personal Property Deadline & Disposition
All personal property must be removed, donated, sold, or otherwise disposed of by the deadline below. Any items remaining in the property after this deadline shall be deemed abandoned by the Seller. Fresh Start Group shall have full and irrevocable authority to dispose of such items at its sole discretion — by donation, sale, or disposal — without further notice to or consent from the Seller, and without any liability to the Seller for the value or condition of such items.

Fresh Start, First Step℠ Partnership Agreement
No Obligation to Accept. Execution of this Agreement by the Seller does not obligate the Seller to accept the purchase price stated herein. This Agreement becomes binding upon the Seller only upon the Seller's written acceptance and return of a fully executed copy to the Buyer. Once fully executed by both parties, this Agreement is irrevocable except as expressly provided herein.
No Upfront Cost to Seller. Fresh Start Group charges no upfront fees, commissions, or costs to the Seller in connection with this Direct Purchase Agreement. All costs of closing, including title insurance, transfer taxes, and recording fees, shall be paid by Fresh Start Group unless otherwise agreed in writing.
Title & Seller Warranty. Seller shall convey marketable title to the property by general warranty deed, free and clear of all liens and encumbrances except those disclosed in Section VI and current real estate taxes prorated to the date of closing. Seller warrants that no undisclosed liens, judgments, or encumbrances exist against the property. Any lien or encumbrance discovered after execution that was not disclosed shall be the sole responsibility of the Seller to cure prior to closing.
Real Estate Taxes. Real estate taxes shall be prorated to the date of closing based on the most recent available tax bill. Seller is responsible for all taxes accrued prior to closing. Any tax liens or delinquencies shall be satisfied by the Seller at or prior to closing.
Risk of Loss. Risk of loss or damage to the property shall remain with the Seller until the date of closing and transfer of possession. In the event of material damage to the property prior to closing, Fresh Start Group reserves the right to renegotiate the purchase price or terminate this Agreement without penalty.
Seller Representations & Indemnification. Seller represents and warrants that all information provided to Fresh Start Group is accurate and complete. Seller shall indemnify, defend, and hold harmless Fresh Start Group from any claims, losses, or liabilities arising from any inaccuracy or omission in the Seller's disclosures or representations under this Agreement.
Confidentiality. All information shared by the Seller with Fresh Start Group in connection with this Agreement shall be treated as confidential and shall not be disclosed to third parties without the Seller's written consent, except as required by law or as necessary to perform the services described herein.
Default by Seller. If the Seller fails to perform any obligation under this Agreement, Fresh Start Group shall be entitled to pursue all remedies available at law or in equity, including specific performance, damages, and recovery of all costs and attorneys' fees incurred in enforcing this Agreement.
Mandatory Mediation & Binding Arbitration. Mediation First. Before initiating arbitration, the party asserting a claim shall provide written notice to the other party describing the dispute in reasonable detail. The parties shall then attempt in good faith to resolve the dispute through non-binding mediation administered by a mutually agreed mediator in Will County, Illinois, within 30 days of such notice (or such longer period as the parties agree in writing). Each party shall bear its own costs of mediation; mediator fees shall be shared equally.
Binding Arbitration. If the dispute is not resolved through mediation within the period described above, it shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, before a single arbitrator seated in Will County, Illinois. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. BY EXECUTING THIS AGREEMENT, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL OR COURT TRIAL ON ANY CLAIM COVERED BY THIS PROVISION. This arbitration clause shall survive termination or expiration of this Agreement.
Governing Law & Jurisdiction. This Agreement shall be governed by the laws of the State of Illinois. Subject to the mandatory mediation and arbitration requirements of Term 9, any disputes not resolved through those processes shall be resolved in the courts of Will County, Illinois. The prevailing party in any such proceeding shall be entitled to recover reasonable attorneys' fees and costs.
Entire Agreement. This Agreement, together with any written addenda signed by both parties, constitutes the entire agreement between the parties with respect to the purchase of the subject property and supersedes all prior oral or written representations.
